Agreement Overview

This Terms of Use Agreement, together with our Privacy Policy, constitutes a legally binding agreement between you (the user) and Proxypick Limited (“Proxypick” or “we”). This Agreement governs your access and use of Proxypick Services, our website, and all associated features, content, and applications.

By accessing, registering, or using Proxypick, you acknowledge that you have read, understood, and agree to be bound by all terms and conditions in this Agreement. If you do not agree with any part of this Agreement, you may not use our Services.

Your Obligations as a User

You are responsible for all actions associated with your user account. You must comply with all applicable laws (local, national, and international), as well as all relevant contracts and regulations concerning your use of the Services.

  • Account Security: You are responsible for maintaining the confidentiality of your credentials and preventing unauthorized access.
  • Legal Compliance: You must use the Services only for lawful purposes in compliance with all applicable laws.
  • Report Unauthorized Access: If you notice any unauthorized use of your account, notify us immediately.
  • Acceptable Use: You must not damage, disable, overload, or impair our infrastructure or interfere with other users’ access to the Services.
  • No Unauthorized Access: You may not attempt to access any restricted part of the Service or information you are not permitted to access.

Our Obligations

We commit to maintaining the confidentiality of all information you provide to us. This confidentiality obligation applies to our employees, representatives, consultants, contractors, and agents.

Exceptions: Our obligation to maintain confidentiality does not apply when:

  • Information is already known to the public
  • Information must be disclosed by law, government order, court ruling, or other competent authority (in which case we will notify you as soon as possible)

Limited License

We grant you a personal, non-exclusive, non-transferable, non-assignable, non-sublicensable, revocable, and limited license to access and use the Services in accordance with this Agreement and your subscription plan.

This license does not include the right to modify, reverse engineer, decompile, sell, transfer, or sublicense the Services, or to remove proprietary notices.

Pricing & Payment

  • Price Changes: We may update pricing at any time. Changes apply to new subscriptions and renewals.
  • Automatic Billing: You authorize automatic billing of your selected payment method according to your subscription plan.
  • Auto-Renewal: Unless you cancel before the billing date, your subscription will automatically renew and you will be charged accordingly.
  • Trial Periods: If a trial period is offered, you must cancel before it ends to avoid being charged. Trial periods are non-renewable.
  • No Refunds: All service purchases are final and non-refundable, except at our sole discretion or as required by law.
You are responsible for tracking your trial period end date. We may send reminders, but you must ensure timely cancellation if desired.

Prohibited Behavior

You agree not to:

  • Damage, disable, overload, or impair our servers
  • Attempt unauthorized access to any part of the Service
  • Use automated tools for unauthorized scraping or data extraction
  • Violate applicable laws or engage in illegal activities
  • Infringe on intellectual property rights of others
  • Harass, threaten, or abuse other users
  • Use the Services for fraud, deception, or exploitation

Prohibited Content

We prohibit any content that violates laws, promotes illegal goods or services, or is sexually explicit. This includes content related to drugs, hate speech, violence, weapons, and other illegal materials.

We reserve the right to determine what constitutes prohibited content and take appropriate action against violators, including account termination.

Limitation of Liability

Your use of the Services is at your own risk. To the maximum extent permitted by law, Proxypick is not liable for any direct, indirect, incidental, special, punitive, or consequential damages, including loss of profits, data, or business interruption.

We provide the Services on an “as-is” basis with no warranties regarding uninterrupted service, error-free operation, or fitness for a particular purpose.

Termination

Termination by Proxypick: We reserve the right to terminate your access without notice if we determine you have violated this Agreement or applicable laws, including non-payment, prohibited behavior, or policy violations.

Termination by You: You may cancel your subscription at any time through your dashboard. Cancellation becomes effective at the end of your current billing period unless otherwise specified.

Governing Law & Dispute Resolution

This Agreement is governed by and interpreted in accordance with applicable law where our Services are provided.

Dispute Resolution: In case of disputes, we encourage friendly negotiation first. If negotiation fails, any disputes shall be resolved through appropriate court proceedings in the relevant jurisdiction.
